Please thoroughly read the Web Site Terms and Conditions of Use Agreement listed below before accessing, browsing, or otherwise using this Site because they describe your rights and responsibilities and constitute a legally binding agreement between you and DoPi Karaoke.

1. Scope of Terms and Use Agreement

These are official terms and conditions ("Terms of Use") and form a legally binding agreement between You ("You" or "Your") and DoPi Karaoke incorporated ("DoPi Karaoke", "We", "Us", or "Our"). The Terms of Use govern Your use of the DoPi Karaoke Internet web site located at http://www.doPikaraoke.com, which includes all software, HTML and other code, and scripts running or forming a part of this Site (collectively, the "Code"), and all information and data that is part of this Site, including all text, graphics, photos, illustrations, images, and audio and audio-video files (collectively, the "Content").

In addition to complying with the terms and conditions of this Agreement, You agree to comply with the Terms and Conditions of Sale Agreement that governs Your purchase of any downloadable audio or audio-video files (the "Files") or other products or services from DoPi Karaoke (the "Terms of Sale"), and with all additional terms and conditions governing access to and use of specific areas of this Site. These Terms of Use and our use of the term "Agreement" also include our Privacy Statement. All of these are hereby incorporated into our Agreement with you by this reference and this Agreement will remain in full force and effect as long as you are a user of DoPi Karaoke

The words "use" or "using" in this Agreement, means any time an individual (a "user"), directly or indirectly, with or without the aid of a machine or device, does or attempts to access, interact with, use, display, view, print or copy from DoPi Karaoke, transmit, receive or exchange data or communicate with DoPi Karaoke, or in any way utilizes, benefits, takes advantage of or interacts with any function, service or feature DoPi Karaoke, for any purpose whatsoever. This Agreement does not cover your rights or responsibilities with respect to third party content or any web sites or links that may direct your browser or your connection to third party web sites or web pages.

2. Modification

DoPi Karaoke may, at any time, in its sole discretion, modify, add, or delete provisions of this Agreement (including the Terms of Sale, any Additional Terms, and the Privacy Policy). You are responsible for reviewing this Agreement prior to each time You access or use the Site. If You object to any such modifications, additions, or deletions, Your only recourse is to terminate this Agreement and to stop any and all use of this Site. Your continued use of this Site following such modifications, additions, or deletions shall be deemed to constitute Your review and acceptance of, and agreement to, any such modifications, additions, or deletions.

DoPi Karaoke may, at any time and from time to time, in its sole discretion, modify, revise, or otherwise change this Site (including adding or discontinuing any or all services or transactions offered through this Site), in whole or in part, without notice or liability to You.

3. Registration AND Use and Protection of Password and ID

There are portions of our Site that we make available to users in the general public without registering and you may visit and browse those portions without charge or obligation; provided, however, we reserve the right to make changes, limit or restrict those portions at any time and from time to time in our discretion, without notice to you. In order to purchase product, audio and audio / video files You are required to register.

As part of the registration process, you will need to select and provide us with a unique user name and choose a password (or we may assign an initial password which we will give you the option to change) which must form a unique combination (a "User ID"), and we also request that you provide your e-mail address, and may request that you provide other information as we may require. We may also, from time to time and at any time, provide users with additional codes or passwords necessary to access and use certain services, access promotions, etc. Please read our Privacy Statement to further understand how your information is protected on Our Site.

You are solely responsible for protecting the security and confidentiality of the password and ID assigned to You, and also for all activities that take place under your account. Your User ID is personal to you and you may not allow any others to use your User ID under any circumstances. In no event will DoPi Karaoke be liable for any indirect or consequential loss or damage whatsoever resulting from the disclosure of your username and/or password. You may not use another person's account at any time, without the express permission of the account holder. You agree to immediately notify us if you become aware of or believe there is or may have been any unauthorized use of (or activity using) your User ID or any other need to deactivate your User ID due to security concerns.

4. System Requirements

Use of the Site requires Internet access, music manager software or other software allowing the downloading and storing of audio and audio-video files in the MP3 and/ or MPEG-4 formats (the "Software"), and a compatible player device (the "Device"). All Devices known at this time to support the MP3 and/ or MPEG-4 formats are compatible with the Files. DoPi Karaoke may, at any time and from time to time, in its sole discretion, modify, revise, or otherwise change the system requirements for this Site and the format of the Files, in whole or in part, without notice or liability to You.

Internet access, use of the Software, or use of a Device may incur fees in addition to any fees incurred on this Site. Software and Devices may require obtaining updates or upgrades from time to time. Your ability to use the Site may be affected by the performance of the Software, the Device, or your Internet connection. You acknowledge and agree that it is Your responsibility to comply with the system requirements from time to time in effect, to maintain, update, and upgrade Your Software and Devices, and to pay all Internet access, Software, and Device fees without recourse to DoPi Karaoke.

5. Ownership and Proprietary rights

The Site and its content (including without limitation the Site design, text, graphics and all software and source codes connected with the Website and the Services) are protected by copyright, trade marks, patents and other intellectual property rights and laws. In accessing the Site you agree that you will access the contents solely for your personal, non-commercial use.

Except as permitted in the limited license noted in the above paragraph, You may not, in whole or in part, copy, reproduce, distribute, display, perform, sell, lease, transmit, or create derivative works from this Site, from Content posted on the Site, or from Files sold to You or translate, modify, reverse-engineer, disassemble, or decompile this Site, Content posted on the Site, or Files sold to You.

DoPi Karaoke does not claim ownership of any materials you post, upload or submit to any publicly accessible area of the Services. However, by doing so you are granting us a world-wide, royalty free, non-exclusive license to copy, distribute, transmit, reproduce, publicly display, edit, translate or publish such Content for as long as you elect to display such Content via the Services. The license shall be terminated when such Content is deleted from the Services.

6. Conduct

Your use of the Site is subject to all applicable local, state, national laws and regulations and, in some cases, international treaties. You are solely responsible for all activities, acts and omissions that occur in, from, through or under your User ID. You may not upload to, or distribute or otherwise publish through, this Site any information or other material that;

violates or infringes the rights of any persons, including rights in copyrights, patents, trademarks, service marks, trade secrets, or other proprietary rights;

is likely to: be libelous, defamatory, indecent, vulgar or obscene, pornographic, sexually explicit or sexually suggestive, racially, culturally, or ethnically offensive, harmful, harassing, intimidating, threatening, hateful, objectionable, discriminatory, or abusive, or which may or may appear to impersonate anyone else;

or contains malicious code, such as viruses, time bombs, cancel-bots, worms, Trojan horses, spyware, or other potentially harmful programs or other material or information.

7. Child Supervision

We are concerned about the safety and privacy of our users, particularly children. Parents who wish to allow their children access to and use of the Website/Services should supervise such access and use. By allowing your child access to the Services you are allowing your child access to all of the Services. It is therefore your responsibility to determine which Services are appropriate for your child. Always use caution when revealing personally identifiable information about yourself or your children via any of the Services.

The appearance, availability, or Your use of URLs or hyperlinks referenced or included anywhere on the Site or any other form of link or re-direction of your connection to, with or through DoPi Karaoke, does not constitute an endorsement by, nor does it incur any obligation, responsibility or liability on the part of DoPi Karaoke its Affiliates or any of its or their respective officers, directors, employees, agents, representatives, licensors, suppliers, and service providers, successors and permitted assigns. We do not verify, endorse, or have any responsibility for, any such third party sites, their business practices (including the Privacy Statement), or any goods or services associated with or obtained in connection with any such site, whether DoPi Karaoke's or any Affiliates' logo or sponsorship identification is on the third party site as part of a co-branding or promotional arrangement. If any third party site obtains or collects Personal Information from you, in no event shall we assume or have any responsibility or liability. Please read our Privacy Statement, which describes how DoPi Karaoke collects and uses your Personal Information.

You must obtain DoPi Karaoke's prior written consent for any link to this Site.

10. Termination of your registration

You may terminate your registration and User ID, at any time and for any reason, by sending an e-mail to service@doPikaraoke.com with your username, password, and e-mail address and requesting termination of your registration. We may terminate your use of and registration, at any time and for any reason, with or without cause, without prior notice to you and without any liability or further obligation of any kind whatsoever to you or any other party.

11. Disclaimers and limitation of liability

Use of the Site/Services is at your own risk. The Site/Services are provided on an "AS IS" and "AS AVAILABLE" basis without any representation or endorsement made and without warranty of any kind whether express or implied, including but not limited to the implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement, compatibility, security and accuracy.

To the extent permitted by law, DoPi Karaoke will not be liable for any indirect or consequential loss or damage whatsoever (including without limitation loss of business, opportunity, data, profits) arising out of or in connection with the use of the Site/Services.

DoPi Karaoke makes no warranty that the Site/Services will meet your requirements, that Content will be accurate or reliable, that the functionality of the Site/Services will be uninterrupted or error free, that defects will be corrected or that the Site/Services or the server that makes them available are free of viruses or anything else which may be harmful or destructive.

To the maximum extent permitted by applicable law, DoPi Karaoke's total liability to you for any damages (regardless of the forma of action, whether contract, warranty, tort, product liability, or otherwise) shall not exceed in the aggregate the amount of the fees actually paid by You to DoPi Karaoke for the one-month period prior to the act allegedly giving rise to DoPi Karaoke's liability.

12. Indemnity

You agree to indemnify, defend and hold DoPi Karaoke; its parent, subsidiaries, and affiliates; and their respective officers, directors, shareholders, members, partners, employees, and agents harmless from and against any breach by you of these Terms and Conditions and any claim or demand brought against DoPi Karaoke by any third party arising out of Your use of the Services and/or any Content submitted, posted or transmitted through the Services, including without limitation, all claims, actions, proceedings, losses, liabilities, damages, costs, expenses (including reasonable legal costs and expenses) howsoever suffered or incurred by DoPi Karaoke in consequence of your breach of these Terms and Conditions.

13. Law that applies to the agreement; misc terms

This Agreement, including, without limitation, our Privacy Statement, any Rules and any additional terms and conditions that apply to your use of any specific services, features and functions or the purchase of any Products, as well as any other documents, policies and provisions we refer to in any of the foregoing, all of which are hereby incorporated by this reference, contains the entire understanding and agreement between you and DoPi Karaoke and supersedes any and all prior, inconsistent or other understandings relating to DoPi Karaoke Site/Services.

If any provision of this Agreement is held to be illegal, invalid or unenforceable, this will not affect any other provisions and this Agreement will be deemed amended to the extent necessary to make it legal, valid and enforceable. Any provision which must survive in order to allow us to enforce its meaning shall survive termination of this Agreement; provided, however, no action arising out of this Agreement or your use of the DoPi Karaoke Site/Services, regardless of form or the basis of the claim, may be brought by you more than one year after the cause of action has arisen (or if multiple causes, from the date the first such cause arose).

This Agreement and your use of the DoPi Karaoke Site/Services shall be governed by, construed and enforced in accordance with the substantive laws of the State of California applicable to contracts made, executed and wholly performed in that State, and, for the purposes of any and all legal or equitable actions, you specifically agree and submit to the exclusive jurisdiction and venue of the State and Federal Courts situated in the State of California and County of Los Angeles and agree you will not object to such jurisdiction or venue on the grounds of lack of personal jurisdiction, forum non convenes or otherwise; provided, however, that notwithstanding the foregoing, you agree that DoPi Karaoke has the right to commence and prosecute an action against you in connection with this Agreement, in your home jurisdiction. To the extent it may be applicable, you agree to opt out from and expressly exclude any applicability of the Uniform Computer Information Transactions Act.

In any action or proceeding commences to enforce any right or obligation of the parties under this agreement, Your use of the DoPi Karaoke Site/Services or with respect to the subject matter hereof, your herby waive any right you may now have or hereafter possess to a trial by jury.

A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

14. International Access

This Site can be accessed from countries other than the United States. If You access and use this Site outside the United States, You are responsible for complying with Your local laws and regulations.

15. Complete Agreement

This Agreement (including under the Terms of Sale, any Additional Terms, and the Privacy Policy) constitutes the entire agreement between You and DoPi Karaoke with respect to Your access to and use of this Site and purchase of Files or Other Products through this Site.

If you are unsatisfied with your purchase for any reason you may return merchandise for a refund within 14 days of receiving merchandise.

If your product was received in error DoPi Karaoke will pay for shipping to return. Otherwise shipping of merchandise will be at your expense. (shipping charges are non refundable).

* Merchandise must be in original packaging and include original receipt. Items received with apparent misuse or neglect will not be accepted for return. A 15% open box re-stocking fee will be added on any opened hardware.

** We do not accept returns after 14 days from when the product was received. Any merchandise sent back to DoPi Karaoke after 14 day from receipt will not be refunded.

Video and Audio Karaoke downloads:

Due to licensing restrictions, we cannot exchange or refund the purchase price on music downloads.

In the event a download is not completed, each consumer has 3 opportunities to return with their password to obtain purchased download, if the download problem continues, DoPi Karaoke will address the problem and repair so that the consumer may then be able to download their original purchase.

In the event a consumer has ordered merchandise by mail and the product arrives damaged, the consumer has 15 days from date of arrival to contact DoPi Karaoke (by email, phone or post) to describe the damage. DoPi Karaoke will gladly replace any damaged product once the originally received damaged product has been returned.

Payment Methods

DoPi Karaoke accepts credit cards and DoPi Karaoke. Gift Certificates as forms of payment. If a credit card is being used for a purchase, DoPi Karaoke obtains a pre-approval from the credit card company for the amount of the order. Billing to your credit card occurs at the time of purchase. If the balance from a Gift Certificate is used, the amount is deducted from your account at the time of purchase. If the total amount of the purchase is greater than the balance available in your Gift Certificate, your credit card will be charged for the balance.

Please note:
Debit cards and check cards have daily spending limits that may prevent the processing of your order. If a purchase has been declined online due to credit card issues, please ensure all data is correct and resubmit. If the transaction is not accepted online, you will be unable to use that card for your purchase and should use another credit card.

Prices

DoPi Karaoke endeavors to offer you competitive prices on current selections. Your total price will include the price of the product plus any applicable sales tax (in effect on the day of download). DoPi Karaoke reserves the right to change prices for products offered at www.doPikaraoke.com at any time, and does not provide price protection or refunds in the event of a price drop or promotional offering. Any postal charges will be added on after the sub-total of the purchases. Please refer to the "Shipping" prices within the purchase cart.

Content Usage Rules

  • Your use of the Products is conditioned upon your prior acceptance of the terms of this Agreement.
  • You shall be authorized to use the Product only for personal, non-commercial use.
  • You shall be authorized to use the Product on your own personal computer, iPod® or MP3 player.
  • You shall be entitled to burn and export Products solely for personal, non-commercial use.
  • Any burning or exporting capabilities are solely an accommodation to you and shall not constitute a grant or waiver (or other limitation or implication) of any rights of the copyright owners of any content, sound recording, underlying musical composition or artwork embodied in any Product.
  • You agree that you will not attempt to, or encourage or assist any other person to, circumvent or modify any software required for use of the Service or any of the Usage Rules.
  • The delivery of a Product does not transfer to you any commercial or promotional use rights in the Product.
